SCSSE explains, within its competence, some amendments to the Regulation on procedure for maintaining register of registered security holders as approved by Resolution No. 1000, dated October 17, 2006.
The Regulation covers registration of titles to securities issued in documentary form: shares, entity bonds, local bonds, investment certificates, mortgage certificates and real estate fund certificates registered in accordance with the Ukrainian law.
Pursuant to the Regulation, any changes resulted from holders' transferring their shares to the share capital of a legal entity should be introduced by the registrar based on the documents furnished to him/her, i.e.:
transfer order from the registered person;
decision of the higher governing body and documents regarding establishment of the legal entity's share capital;
notarized copy of the charter;
security certificate (to be kept by the registrar).
Besides, contributing securities to the share capital of a legal entity requires a personal account to be opened with the register system.
In addition to the registered person's questionnaire and documents forming the basis for changes in the register system, the registrar should receive:
a copy of the certificate of state registration certified by that legal entity;
copies of the foundation documents certified by a notary or state registration body;
a copy of any document confirming appointment of persons authorized to act on behalf of the legal entity without any power of attorney, which copy is to be certified by the director's signature and the legal entity's seal;
details of the bank with which the current account was opened and the number of this account.
